Transaction Diligence

Scope of Services

Rhodes-Porter LLC provides pre-transaction, contract, real estate and project decision-support services, diligence including earnings-quality screening, debt-service and reserves analysis, customer concentration and owner-compensation normalization, and regional market context, for business buyers, sellers, and lenders. This service is not an appraisal or attestation. Services are delivered under an engagement agreement issued as an advisory session or a formal assessment, for commercial and nonprofit transaction parties — including, but not limited to, business buyers and sellers, banks, community development financial institutions (CDFIs), and economic development organizations.

Rhodes-Porter LLC is not a CPA firm, financial institution, lender, registered investment adviser, insurance producer, or law firm, and does not provide accounting, audit, attestation, lending or credit underwriting, investment advisory, tax, or legal advice. This service provides research-based decision-support analysis only; any lending, credit, investment, tax, or legal decision remains solely the Client’s, made in consultation with the Client’s own qualified professionals.

Engagements typically include a diligence report, a funder-facing screen, or a market trend report supporting a specific transaction, real estate or business buying/selling decision.

Typical Outcomes

Clients receive a documented diligence analysis sufficient to inform a transaction, project, real estate, or business buying/selling decision — not a substitute for a formal appraisal, audit, or attestation.

Optional Add-Ons

Additional service products may be added to this engagement under the same task order, where relevant to the Client’s program.

Period of Performance & Engagement Model

Period of performance is scoped per task order and sized to the engagement. Billing model (Fixed Price, Time & Materials, or Retainer) and cost unit are established at task order issuance.

Assumptions & Exclusions

• Client provides timely access to relevant financial statements, tax records, and transaction documentation necessary for analysis.
• This is a flat-fee decision-support service; the fee is earned on delivery and is not contingent on any transaction closing.
• Excludes formal appraisal, audit, compilation, or attestation services under professional accounting standards; lending, credit underwriting, or loan origination; investment advisory; insurance, tax, or legal advice. This engagement does not constitute any of those services, and Rhodes-Porter LLC is not a CPA firm, financial institution, lender, registered investment adviser, insurance producer, or law firm.

IP / License & Acceptance Terms

Proprietary frameworks and methodologies developed by Rhodes-Porter LLC and deployed in the course of this engagement remain the exclusive property of Rhodes-Porter LLC and are licensed to the Client for the specific engagement referenced by the applicable service contract number only. Client owns its data and the delivered work product for internal use.

Client has 10 business days to accept or reject each deliverable in writing against the stated acceptance criterion; silence constitutes acceptance unless superseded by the ordering agreement. Invoicing follows the milestone schedule set out in the task order.
